Terms and Conditions (Domestic Sales – Japan)

These Terms and Conditions ("Terms") apply to the sale of products and related services provided by Kitagawa Seian(hereinafter referred to as "we," "us," or "our") to customers within Japan.

By purchasing products through our website or any of our sales channels, customers are deemed to have agreed to these Terms.

 

1 – Scope of Application

 

These Terms apply to:

• Individual customers residing in Japan (BtoC)

• Corporations and sole proprietors located in Japan (BtoB)

 

2 – Nature of Products

 

Our products consist of food items, including sweet red bean paste (anko) and related Japanese confectionery ingredients.

Storage instructions and best-before dates are indicated on the product label or product page.

Due to the nature of food products, we shall not be liable for:

• Improper storage after delivery

• Quality changes caused by insufficient temperature control

• Issues arising after reprocessing or resale by the customer

 

3 – Orders and Contract Formation

 

A sales contract shall be concluded when we send an order confirmation email after receiving your order.

We reserve the right to cancel an order in cases including but not limited to:

• Insufficient inventory

• Payment failure

• Incomplete or incorrect information

• Suspected fraudulent or unauthorized use

 

4 – Prices and Payment

 

All product prices are displayed inclusive of Japanese consumption tax.

Payment methods may include:

• Credit card

• Bank transfer

• Other methods designated by us

We may use external payment service providers such as Stripe to process payments.

 

5 – Shipping

 

The shipping carrier shall be designated by us.

In the event of damage or loss during delivery, handling shall be in accordance with the carrier’s policies.

We shall not be liable for delays caused by force majeure events, including but not limited to:

• Natural disasters

• Traffic conditions

• Infectious diseases

• Government regulations

 

6 – Returns and Exchanges

 

Due to the nature of food products, returns or exchanges for customer convenience are not accepted.

However, we will respond in the following cases:

• Defective products

• Incorrect delivery

Customers must contact us within three (3) days of receipt of the product.

 

7 – Special Provisions for Wholesale Transactions

 

For sales to corporations and business operators:

• First transactions shall generally require full prepayment

• Storage and quality control after delivery are the responsibility of the purchaser

• Compliance with labeling obligations upon resale is the responsibility of the purchaser

 

8 – Limitation of Liability

 

Our liability for damages shall be limited to the total amount of the relevant order.

However, this limitation shall not apply in cases of willful misconduct or gross negligence on our part.

We shall not be liable for indirect damages or loss of profits.

 

9 – Intellectual Property Rights

 

All copyrights, trademarks, product names, logos, images, and texts related to our products belong to Kitagawa Seian.

Unauthorized use, reproduction, or distribution is strictly prohibited.

 

10 – Personal Information

 

The handling of personal information shall be governed by our separately established Privacy Policy.

 

11 – Governing Law and Jurisdiction

 

These Terms shall be governed by the laws of Japan.

In the event of any dispute, the court having jurisdiction over our principal place of business shall have exclusive jurisdiction as the court of first instance.
